Terms and Conditions

General

By accessing or using any part of the Looppl websites, web/mobile apps, or related services (collectively, the “Service”) provided by Looppl Technology Inc. (“Looppl,” “we,” “our,” or “us”), you acknowledge that you have read, understood, and agree to comply with and be bound by these Terms and Conditions of Service (“Terms”), including any future updates. If you do not agree to these Terms, please refrain from using, accessing, or participating in the Service.

Looppl may update these Terms at any time. We will provide at least seven (7) days’ notice before any significant changes take effect, either by email to registered users or via a prominent notice on the Service. The updated date will be reflected at the top of this page.

Description and Use of the Service

The Service enables customers and participating stores to interact within a contest environment, facilitating communication, sharing features, and assisting in attracting, maintaining, and increasing visits to participating stores. This includes, but is not limited to, customer-focused businesses such as retail stores, professional service providers, and other organizations aiming to increase their customer base and promote referrals.

Looppl may, at its sole discretion, update, change, suspend, improve, or discontinue any aspect of the Service, temporarily or permanently.

You are responsible for your use of the Service and for any activity conducted through your account. To ensure a positive and safe user experience, the following behaviors are prohibited:

• Posting content that violates the rights of others or is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy;

• Impersonating any person or entity or misrepresenting your affiliation with a person or entity; and

• Using the Service for any unauthorized or illegal purpose.

User Registration and Contest Participation

Registration

To participate in contests through Looppl, you must access the Service via our websites, web/mobile apps, or QR code stickers distributed at participating stores. Verification is completed via a security code sent to your email address or phone number.

Businesses registering accounts must provide accurate, current, and complete information, and update it as necessary. The business is responsible for all actions taken through its account. Upon registration, Looppl provides QR code sticker rolls assigned to the business location. If a business account is canceled, QR code scanning, store referrals, and contest participation will no longer be available.

Contest Rules and Compliance

Participation in any Looppl contest is subject to eligibility requirements, contest seasons, and official rules established by Looppl for each season or promotional event. Looppl may disqualify entries or participants that violate contest rules or engage in fraudulent activity.

Making a purchase at a participating store does not increase your chances of winning. All entry methods—including QR code scans and mail-in entries described in the official rules—are treated equally and may be eligible for additional entries through repeat visits, referrals, or other bonus activities as defined by Looppl.

New Store Participation During Ongoing Contests

New stores may join Looppl contests at any time, even after a contest season has already begun. Once a store joins, it becomes an official participating location for the remainder of that contest season. Entries earned at the new store will count toward the ongoing contest but will not extend or restart the contest duration. Any unused stickers remaining at the end of a contest season may, at Looppl’s discretion, be carried forward to the next contest season.

Instant Win Prizes

Participating stores may, at their sole discretion and cost, sponsor Instant Win Prizes at any time during an ongoing contest season. These prizes are separate from the main contest draw and do not alter contest deadlines or other prize structures. Instant Win Prizes generally remain valid for approximately thirty (30) days from the date of registration, and any remaining prizes may not be carried forward to the next contest season.

Once a store commits to sponsoring an Instant Win Prize, it must honor the prize through its validity period. Prizes cannot be revoked or canceled except in cases of genuine error (e.g., stock miscount). In such cases, the store must promptly notify Looppl, and Looppl will determine a resolution.

Eligibility

Participants must have reached the age of majority in their province or territory of residence and reside in the region where the participating store is located. Employees, officers, and directors of participating stores, Looppl, or affiliates, as well as their immediate family or household members, are not eligible—except that an employee may participate as a customer at a different participating store.

Contest Season and Entry Deadlines

All entries must be received within the contest season or weekly entry periods announced by Looppl. Entries received after the applicable deadline will be invalid. Looppl reserves the right to extend, shorten, or otherwise modify contest seasons at its discretion.

Contest Entry Methods

Participants can earn contest entries through the following methods:

1. QR Code Entry (with purchase)

• Scan QR codes at participating stores to submit contest entries.
• Each QR code may be scanned once per store per day, unless otherwise specified.
• Multiple entries can be earned across different stores in a single day.

2. Mail-in Entry (No purchase necessary)

• Participants may create a Looppl account and mail a hand-printed entry on a plain piece of paper including: full name, mailing address, phone number or email address associated with your Looppl account, and the name of any one participating store.
• Mail entries must be postmarked by the contest season deadline or weekly entry period, and received by the draw date.
• Limit: one entry per participating store per envelope per postmarked date.

3. Store Visits (Repeat + Multi-store)

• Earn bonus entries by visiting participating stores and scanning their Looppl QR codes.
• Repeat Visits: Each additional visit to the same store may earn extra entries, limited to one per store per day unless otherwise specified.
• Multi-Store Visits: Visiting and scanning at multiple unique participating stores during the contest season. Multipliers may apply once a user visits a specified number of unique stores.

4. Referrals

• Earn bonus entries by referring friends or family to a participating store through the Looppl web/mobile apps.
• Referrals count only if the referred person visits a participating store for the first time, logs in with the referral code/link, and scans a QR code.
• Both the referrer and the referred person may receive additional entries as specified in contest rules.

5. Store Experience Survey (NPS Survey)

• Earn bonus entries by completing short feedback surveys about your experience at participating stores.
• Surveys are available in the Looppl web/mobile apps.
• Limit: one completed survey per participating store per contest season, unless otherwise specified in contest rules.

Prizes

Prizes, their approximate retail value (ARV), and odds of winning are specified in each contest season’s official rules. Odds depend on the number of eligible entries received and the prizes available.

A claim code to redeem Instant Win Prizes is transferable and may be substituted at Looppl’s or the participating store’s discretion for items of equal or greater value. Each Instant Win claim code can be redeemed only once. Attempted multiple redemptions are invalid. All taxes, fees, and shipping costs associated with any prize are the sole responsibility of the winner.

Winner Selection and Notification

Contest winners may be selected through random draws conducted by authorized third parties, or through Instant Win and Weekly Prize draw systems administered by Looppl. Potential winners will be notified via the contact information linked to their Looppl account and may be required to answer a skill-testing question.

If a winner cannot be contacted or fails to claim a prize within the timeframe specified in the official contest rules, the prize may be forfeited, and an alternate winner may be selected.

Special Contest Rules

Certain contests may include additional or modified rules that supplement these Terms. In the event of any conflict between these Terms and the official rules of a specific contest, the contest-specific rules will prevail.

Licensing, Intellectual Property, and Liability

Ownership and License

The QR code stickers and web/mobile app services, including all software, hardware, and components, are the proprietary property of Looppl. All rights, title, and interest in and to the QR code stickers and web/mobile app services remain with Looppl. You do not acquire any ownership rights by using the QR code stickers and web/mobile app services. We grant you a limited, non-exclusive, non-transferable, and revocable license to the QR code stickers and web/mobile app services solely for its intended purpose.

Permitted and Prohibited Uses

You may use the Service only as intended by Looppl. You agree not to:

• Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service;
• Remove or alter any proprietary notices or labels;
• Use the Service in any way that could damage, disable, overburden, or impair it; or
• Distribute, disclose, or disseminate the source code to third parties.

User Contents

By submitting content on the Service, you grant Looppl a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, distribute, publicly display, and create derivative works from the content. You represent that you have legal ownership or appropriate rights for all submitted contents.

Looppl is not responsible for the accuracy, legality, or appropriateness of user content. You agree not to upload content that violates any law, infringes third-party rights, or is objectionable at Looppl’s sole discretion.

Limitation of Liability

To the maximum extent permitted by law, Looppl, its affiliates, and their officers, directors, employees, and agents are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:

• Your use of or inability to use the Service;
• Loss of profits, business opportunities, or data;
• Any transaction or interaction with third-party providers; or
• Any errors, omissions, or interruptions in the Service.

Looppl’s total liability for all damages shall not exceed the amount paid by you to Looppl for the Service in the twelve (12) months preceding the event giving rise to the liability.

Indemnity

You agree to indemnify and hold harmless Looppl, its affiliates, officers, directors, employees, and agents from any claims, demands, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service;
• Your breach of these Terms;
• Looppl’s use of your user content; or
• Your violation of the rights of any third party.

Exclusive Promotion Terms

During promotional periods, you may receive free-of-charge services. By accepting, you agree not to provide services that compete with Looppl’s core offerings, including offering, rewarding, or marketing services that replicate core functionalities. Breach may result in revocation of the offer and service charges. Liability and indemnity in connection with promotions are covered under the Licensing, Intellectual Property, and Liability section above.

Your Representations and Warranties

You affirm that your use of the Service complies with these Terms and all applicable laws, including those governing online conduct, content, and data transmission. You assert ownership of submitted material and the right to grant Looppl a license to use it.

Termination

Looppl may terminate your access and revoke licenses immediately, at any time, and for any reason at its discretion. Upon termination, you must immediately discontinue use of the Service. Violations of these Terms result in automatic termination. Certain sections, including Limitation of Liability, Indemnity, Intellectual Property, and User Content, survive termination. You may also terminate your Looppl account at any time via instructions in the Service.

Payment Processors

All financial transactions are processed by third parties under their terms of use and privacy policies. Looppl is not responsible for the actions, errors, or outages of third-party processors, including system downtime or payment service interruptions.

Refund Policy

All payments are non-refundable, including for virtual items or partially used add-on services. Canceling a paid Looppl add-on service allows continued access until the end of the current billing period. Future credits are not guaranteed.

Intellectual Property

All Service content, including designs, graphics, images, logos, software, service marks, trademarks, and other materials, is owned or licensed to Looppl and protected by copyright and other intellectual property rights. Unauthorized copying, scraping, framing, reproduction, redistribution, or sale is prohibited.

Third-Party Links, Sites, and Services

The Service may contain links to third-party websites, ads, or services that Looppl does not own or control. Looppl is not responsible for these third-party services. Your use of them is at your own risk. Third-party services may display advertisements; by using the Service, you agree that Looppl and its partners may display advertising in connection with content submitted by you or others.

Privacy Policy

Your use of Looppl is governed by our Privacy Policy: https://www.looppl.com/privacy.

Language

This agreement is written in English (US). In the event of a conflict with any translation, the English version prevails.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, except that residents of Quebec are governed by the laws of Quebec and applicable federal laws, without regard to conflict-of-law principles.
